These General Terms and Conditions (the “Terms”) govern the provision and use of the Quotioo online service and the relationship between its provider and its users. The consumer rights set out in these Terms apply where the user enters into the contract as a consumer.
1. Provider
The Quotioo service is provided by Rosi Group, s. r. o., with its registered office at Pažiť 5, 958 03 Pažiť, Slovakia, Company ID (IČO): 44 502 885, Tax ID (DIČ): 2022724341, VAT ID (IČ DPH): SK2022724341, registered in the Commercial Register of the District Court of Trenčín, Section Sro, Insert No. 21016/R (the “Provider”).
Contact: support@quotioo.com, telephone +421 908 676 424.
2. Definitions
Quotioo or the Service is software provided over the internet as a service (SaaS). It is used mainly for creating and managing construction budgets and project data. The specific features available depend on the chosen package and are set out in the current description of the Service and the price list before ordering.
A User is a person who has created an account or uses the Service. Merely visiting the public website without registering does not give rise to a contract for the use of the Service.
A Consumer is a natural person who, when concluding and performing the contract, does not act in the course of their business, employment or profession.
A Business User is a user who uses the Service in connection with their business or professional activity.
The Account is the part of the Service made available to the user after logging in.
An Organisation is a workspace in which the user may work together with other people, depending on the features available and their permissions.
User Content means the data, construction budgets, project documents, files and other content that the user enters into or creates in the Service.
A Package is the scope of features and limits of the Service chosen by the user according to the price list valid at the time of ordering.
The Billing Period is the period for which the user has ordered a paid Package. Its length is stated before ordering and in the order confirmation.
A Durable Medium is any means that enables information to be stored in an unchanged form for the necessary period, for example an e-mail or a PDF file.
3. Subject matter of the contract
The Provider will make the Service available to the user within the scope of the chosen Package. The user will comply with these Terms and, in the case of a paid Package, pay the agreed price.
The scope of features, limits, price and Billing Period shown to the user before submitting the order form part of the contract. If the description of the Service, the price list and these Terms differ, the information confirmed in the order prevails for any individually agreed parameter.
The Service helps to process construction budgets and related data. It is no substitute for a professional assessment of project documentation, the bill of quantities, prices or technical solutions, nor for the user’s own decisions. Through the Service itself, the Provider does not provide authorised design, expert witness, legal, tax or accounting services.
The Provider may provide additional services on the basis of a separate agreement.
4. Registration and conclusion of the contract
The user creates an Account by following the procedure set out in the registration interface. Before completing the registration, the user has the opportunity to read these Terms. The contract for a free Package is concluded when the registration is completed and the Account is made available.
Before an order for a paid Package is submitted, the user is shown its main characteristics, the total price, applicable taxes and mandatory fees, the Billing Period, the payment method and any automatic renewal. If the order creates an obligation to pay, the order button clearly expresses that obligation.
The contract for a paid Package is concluded when the Provider confirms the order. Access to paid features may be conditional on successful payment. The Provider will send the consumer a confirmation of the contract, including these Terms, on a Durable Medium no later than when the provision of the paid Package begins.
The user will provide true and up to date information. A person acting on behalf of a legal person must be authorised to act on its behalf. The user or the administrator of the Organisation is responsible for inviting other people and setting their access permissions.
The contract is concluded in the Slovak language. The Provider keeps the contract data in electronic form and will provide the user with an order confirmation on a Durable Medium. An Account may be created by a person who has the legal capacity to conclude the relevant contract.
5. Packages and prices
The Service may be available in free and paid Packages. The current names of the Packages, prices, Billing Periods, features and limits are set out in the price list and shown before the order is submitted. The price and scope confirmed in the order apply for the agreed period, unless the contract or the law provides otherwise.
Before ordering, the consumer is shown the final price including taxes and all mandatory fees. If a business user is shown a price excluding VAT, the VAT applied and the resulting price are also shown before the order is submitted.
If the user reaches a limit of the Package, the Service may restrict adding further data or using the feature concerned. Reaching a limit is not in itself a reason for the immediate deletion of User Content already stored. The user may change the Package according to the available offer.
The terms of any trial period, discount or individual price are shown to the user before they are accepted.
6. Payments, duration and renewal of the subscription
The price of a paid Package is paid in advance for the Billing Period by the method chosen when ordering. The order confirmation states whether the subscription renews automatically.
If the user has ordered an automatically renewing subscription, at the end of the Billing Period it renews for the next period stated in the order confirmation, unless the user cancels the renewal in time. The method of cancellation is set out in the Account, or the user may request cancellation at support@quotioo.com. A request received before the start of the next Billing Period prevents further renewal. Cancelling the renewal does not end a period that has already been paid for.
The Provider may charge a recurring payment only if the user agreed to this when ordering and the chosen payment method allows it. If a payment fails, the Provider may ask the user to pay and, after a reasonable period, restrict the paid features or move the Account to an available free Package. The Provider will notify the user before any restriction, unless a serious security or legal reason prevents this.
An invoice or other relevant document is provided to the user electronically. The user bears the fees charged by their payment service provider. The Provider does not charge the consumer a fee for using a means of payment in breach of the law.
7. Changes to the price and scope of a Package
The price of a Billing Period that has already been paid will not be changed unilaterally. If the Provider wishes to change the price for the next period of an automatically renewing subscription, it will notify the user of the new price on a Durable Medium at least 30 days before it applies. The user may cancel the subscription before the renewal.
Material changes to features or limits during the term of the contract are assessed separately from a change in price. Where a change to the digital service concerns a consumer, the Provider will comply with the conditions and the consumer’s rights under the law, including the right to terminate the contract if such a right arises. The Provider will inform the consumer of any change that may adversely affect access to or use of the Service in the manner and at the time required by law.
8. Rights and obligations of the user
The user may use the Service for their own personal or internal business activity within the scope of the Package.
The user protects their login details, takes reasonable steps to secure the access of people in their Organisation and notifies the Provider without undue delay of any suspected misuse of the Account. The user is responsible for the conduct of the people to whom they have given access, to the extent laid down by law.
Before entering User Content, the user ensures that they are entitled to use and process the content and that doing so does not infringe the rights of third parties. The user must not use the Service unlawfully, disrupt its security or availability, circumvent limits or access rights, gain unauthorised access to other people’s data, distribute malicious code or place an unreasonable load on the infrastructure. The user must not resell the Service or provide it to third parties other than their authorised users, unless the Package or a separate agreement allows this.
The user’s statutory rights relating to interoperability or the permitted examination of software are not affected by these Terms.
9. User Content, export and deletion
The rights to User Content remain with the user or the relevant rights holder. For the duration of the contract, the user authorises the Provider to store, transmit, technically process and back up the content to the extent necessary to provide, secure and support the Service and to comply with legal obligations. This authorisation does not give the Provider the right to publish the content outside the functionality that the user themselves uses.
The Provider will not use non-public User Content to train general AI models without a separate legal and contractual basis. If the Provider makes available a feature that uses an external AI provider, it will give the user the information needed to assess how the entered data is processed before the feature is used.
During the term of the contract, the user may use the export options that the Service makes available for a particular type of data. The scope, format and any limitations of the export are shown with the relevant feature or in the Service documentation. The user may ask for help with accessing their data at support@quotioo.com.
When a paid Package ends, the Provider may move the Account to an available free Package and restrict edits that exceed its limits. Before permanently deleting User Content because the contract has ended, the Provider will notify the user of the deletion date and give them a reasonable time to retrieve the data, unless immediate restriction or deletion is required by law or by a serious security reason. The rules for personal data processed on behalf of the customer are also governed by the contract referred to in Article 17.
The Provider takes appropriate measures to protect data, but recommends that the user also keeps their own copies of documents that are essential to their business or construction project. This recommendation does not limit the Provider’s statutory or contractual liability.
10. Automation, OCR and artificial intelligence
If the Service makes available automation, OCR or artificial intelligence features, their availability and purpose are set out with the feature concerned or in the description of the Package. The outputs may contain errors or incomplete data, so the user checks them before using them in a budget, quote or other decision.
OCR and AI outputs are presented to the user for review. A change to a budget, price or other financial figure is made only after action by an authorised user. If the Service offers a specific automation, its scope and consequences must be clearly explained to the user before it is switched on.
The user does not enter into these features any data that they are not entitled to process in this way or to make available to the necessary technology providers. The outputs are no substitute for a professional review of the construction budget or for legal, tax or accounting advice.
11. Availability, maintenance and updates
The Provider takes reasonable measures to ensure the availability and security of the Service. A specific guaranteed level of availability applies only if it has been specifically agreed. The Provider may carry out maintenance and urgent security interventions; it will inform users of any significant planned interruption in advance where possible.
The Provider supplies the updates needed to keep the digital service in conformity for the period required by the contract or by law. Dependence on third-party services does not limit the consumer’s rights for which the Provider is responsible under the law.
12. Intellectual property
The software, design, documentation, marks and content of the Service, other than User Content, are protected by the rights of the Provider or its licensors. For the duration of the contract, the user obtains a non-exclusive and non-transferable right to use the Service within the scope of the agreed Package and these Terms.
The Provider may use the user’s suggestions and feedback to improve the Service, but must not publish the user’s confidential content or personal data without authorisation.
13. Lack of conformity of the digital service and complaints
The Provider is liable to the consumer for supplying the digital service and for its conformity with the agreed and statutory requirements for the period laid down by law. This includes the statutory requirements for updates and security.
The consumer may notify a lack of conformity by e-mail to support@quotioo.com or in writing to the Provider’s registered office. The consumer gives a description of the defect and contact details at which they can be reached. The Provider will confirm receipt of the notification and inform the consumer of the period for remedying the defect in accordance with the law.
Where the statutory conditions are met, the consumer is entitled to have the digital service brought into conformity, to a proportionate price reduction or to withdraw from the contract. These rights are not limited by the Terms. A business user notifies any defect found without undue delay and provides reasonable cooperation in verifying and remedying it.
14. Consumer’s right to withdraw from a distance contract
The consumer has the right to withdraw from a contract concluded at a distance without giving any reason within 14 days of its conclusion, unless the law provides for an exception. The consumer may give notice of withdrawal by an unequivocal statement sent to support@quotioo.com or to the Provider’s registered office. The deadline is met if the notice is sent no later than on its last day.
The consumer may also use the following model form for withdrawal, but this is not mandatory:
Notice of withdrawal from the contract
I hereby give notice that I withdraw from the contract for the provision of the Quotioo service.
First name and surname:
E-mail address used for registration or order number:
Date the contract was concluded:
Date this notice was sent:
If the consumer expressly requested that the provision of the paid Service begin before the withdrawal period expires and was properly informed of the consequences, on withdrawal they may be required to pay a proportionate price for the performance actually provided, where the law permits this. Merely creating an Account or starting to use the Service without the statutory conditions being met does not automatically cancel the right of withdrawal.
Where a separate order concerns digital content not supplied on a tangible medium, the loss of the right of withdrawal is assessed according to the specific statutory conditions for that type of performance.
The Provider will refund the payments that it is required by law to refund no later than 14 days after receiving the notice of withdrawal, using the same means of payment that the consumer used, unless the parties agree otherwise and the consumer incurs no further costs as a result.
15. Termination of the contract and the Account
The user may cancel automatic renewal in accordance with Article 6. The paid Package then continues until the end of the period paid for, unless the contract ends earlier for another reason.
The user may request closure of the Account at support@quotioo.com. The Provider will inform the user of the consequences for access to User Content and of the options for retrieving data under Article 9.
The Provider may suspend access or terminate the contract if the user fails to pay the price even within an additional reasonable period, seriously or repeatedly breaches these Terms, endangers the security of the Service or the rights of other people, or uses the Service for unlawful activity. Unless there is an urgent security or legal reason, the Provider will warn the user in advance and give them a reasonable period to remedy the situation.
If the Provider stops providing the Service as a whole, it will inform users of paid Packages reasonably in advance, enable them to retrieve their data under Article 9 and refund the proportionate part of the price for the paid period during which it will no longer provide the Service.
Termination of the contract does not affect rights and obligations which, by their nature or by law, are to continue after it ends.
16. Liability and compensation for damage
Each party takes reasonable measures to prevent damage and notifies the other party without undue delay of circumstances that may lead to damage occurring or increasing.
The Provider is not liable for the consequences of incorrect input data provided by the user or of the user’s decision based on an unchecked OCR or AI suggestion, unless the damage was caused by a breach of the Provider’s obligations. Likewise, the Provider is not liable for the conduct of a person to whom the user lawfully gave access, to the extent that the damage did not result from a breach of the Provider’s obligations.
In relation to a business user, compensation for damage is governed by the applicable legislation and any individual agreement between the parties. The Provider and a business user may set out liability in a separate agreement according to the scope and price of the specific service. These Terms do not exclude liability that cannot be excluded or limited by law.
The consumer’s rights arising from liability for defects and compensation for damage are not affected by this Article.
17. Personal data protection and confidentiality
Information about the Provider’s processing of personal data is set out in the privacy policy at quotioo.com/en/privacy-policy.
If, when providing the Service, the Provider processes personal data on behalf of the user as a processor, the parties will conclude a data processing agreement under Article 28 of the GDPR before such processing begins. These Terms do not replace such an agreement.
The parties protect non-public technical, commercial and user information obtained in performing the contract. They use it only to provide the Service, to protect their rights or to comply with a legal obligation, and disclose it only to people who need it for that purpose and are bound by an appropriate duty of confidentiality.
18. Communication
The Provider may send essential contractual and service messages to the user’s contact e-mail address, in particular order and payment confirmations, security alerts and notices of changes to the Service or the contract. It sends marketing messages only in accordance with the law; the user may unsubscribe from them without affecting essential service messages.
The user keeps their contact e-mail address up to date.
19. Alternative resolution of consumer disputes
The consumer may contact the Provider with a request for redress if they are not satisfied with the way their matter was handled or believe that the Provider has infringed their rights.
If the Provider rejects the request for redress or does not respond to it within 30 days of the date it was sent, the consumer may submit a proposal to initiate alternative dispute resolution under Act No. 391/2015 Coll.
The competent body is in particular the Slovak Trade Inspection (Slovenská obchodná inšpekcia) or another authorised body entered in the list kept by the Ministry of Economy of the Slovak Republic.
20. Governing law and dispute resolution
The contract is governed by the laws of the Slovak Republic. Where the user is a consumer habitually resident in another country, this choice of law does not deprive them of the protection afforded by the mandatory provisions of the law of their country.
Disputes are resolved by the courts having jurisdiction under the law. These Terms do not determine the territorial jurisdiction of a court in relation to a consumer in breach of mandatory rules.
21. Changes to the Terms
The Provider may change the Terms for a valid reason, in particular in the event of changes in legislation, security requirements or the way the Service is provided. It will notify registered users of the change, the reason for it and its effective date on a Durable Medium at least 30 days in advance, unless an urgent legal or security reason requires earlier action.
If a change materially worsens the user’s position, the user may terminate the contract without penalty before the change takes effect. The consumer’s rights in the event of a change to the digital service under Article 7 remain unaffected. A consumer’s silence alone does not constitute consent where the law requires express consent.
A change to the Terms does not apply retroactively to rights and claims that have already arisen.
22. Final provisions
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in force. The relevant statutory rule applies in place of the invalid provision.
An individual agreement takes precedence over these Terms. The consumer’s mandatory rights remain unaffected.
These Terms come into force and take effect on 1 July 2026.
